5. Classes and Services

5.1 Class Registration and Cancellation

Registration for classes is on a first-come, first-served basis. To secure your spot, we recommend registering in advance. If you need to cancel a class, please do so at least 24 hours in advance to receive a full refund or class credit.

Late cancellations (less than 24 hours before the scheduled class) and no-shows may result in a forfeiture of the class fee or deduction of a class from your membership package.

5.2 Health and Safety

By participating in our classes, you acknowledge that physical activities involve inherent risks. You represent and warrant that you are in good physical condition and have no medical reason or impairment that might prevent you from safely participating in our classes.

If you have any health concerns or pre-existing conditions, we strongly recommend consulting with a healthcare professional before participating in our classes. Please inform your instructor of any injuries, limitations, or conditions that may affect your participation.

5.3 Class Conduct

We strive to maintain a respectful and supportive environment for all participants. You agree to follow instructor guidance, respect other participants, and use our facilities and equipment appropriately.

We reserve the right to refuse service to anyone whose conduct we deem inappropriate or disruptive to the class environment.

6. Memberships and Payments

6.1 Membership Terms

Membership plans are subject to the specific terms outlined at the time of purchase. Membership fees are non-refundable except as expressly provided in these Terms or as required by applicable law.

6.2 Automatic Renewal

Certain memberships may automatically renew at the end of the membership period unless cancelled. By purchasing an automatically renewing membership, you authorize us to charge your payment method on file for the renewal fee.

You may cancel the automatic renewal of your membership at any time by contacting us or through your account settings.

6.3 Payment Processing

We use third-party payment processors to handle all financial transactions. By providing your payment information, you agree to our use of these payment processors and their terms of service.

7. Intellectual Property

All content, design, graphics, compilation, magnetic translation, digital conversion, and other matters related to our website and Services are protected under applicable copyrights, trademarks, and other proprietary rights. The copying, redistribution, use, or publication by you of any such content or any part of our Services is strictly prohibited without our express prior written consent.

ZenithFlow and all related logos, product and service names are trademarks of ZenithFlow or its affiliates. You are not granted any right or license to use any trademarks without our prior written consent.

8. User Content

You may have the opportunity to submit reviews, comments, suggestions, or other content ("User Content") to our website or social media platforms. By submitting User Content, you grant us a perpetual, irrevocable, worldwide, royalty-free, and non-exclusive license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media.

You represent and warrant that you own or have the necessary rights to all User Content you submit and that such User Content does not violate these Terms or any third-party rights.

10. Limitation of Liability

To the fullest extent permitted by applicable law, ZenithFlow and its affiliates, officers, employees, agents, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

1. your access to or use of or inability to access or use our Services;
2. any conduct or content of any third party on our Services;
3. any content obtained from our Services; and
4. unauthorized access, use, or alteration of your transmissions or content.

In no event shall our total liability to you for all claims related to our Services exceed the amount paid by you to ZenithFlow during the twelve (12) months preceding the event giving rise to the liability.

11. Disclaimer of Warranties

Our Services are provided on an "AS IS" and "AS AVAILABLE" basis. ZenithFlow expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

ZenithFlow makes no warranty that our Services will meet your requirements, be available on an uninterrupted, secure, or error-free basis, or that defects will be corrected. Any material downloaded or otherwise obtained through the use of our Services is accessed at your own discretion and risk.

12. Indemnification

You agree to defend, indemnify, and hold harmless ZenithFlow and its affiliates, officers, directors, employees, agents, partners, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

1. your access to or use of our Services;
2. your violation of these Terms;
3. your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right; or
4. any claim that your User Content caused damage to a third party.

13. Dispute Resolution

Any dispute arising from or relating to these Terms or our Services shall be resolved through the following steps:

1. Informal Resolution: We encourage you to contact us directly to resolve any concerns you may have about our Services.
2. Mediation: If informal resolution is unsuccessful, the parties agree to first attempt to resolve the dispute through mediation administered by a mutually agreed-upon mediator in San Francisco, California.
3. Arbitration: If mediation is unsuccessful, the dispute shall be resolved by binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Your use of our Services may also be subject to other local, state, national, or international laws.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the Terms shall otherwise remain in full force and effect and enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and ZenithFlow concerning our Services and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and ZenithFlow.

17. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
